Toledo Baby™ Rules and Regulations
Exhibitor Set Up:

All booths must be set up within the specified time and no major alterations may be made during show hours. NO EXCEPTIONS. Any exhibitor not set up within the alloted time will be required to leave, forfeiting any and all rent paid.

All exhibitor booths and exhibits must remain within booth dimensions. Exhibitors may not attach display materials to any walls or structural supports of the exhibitor area.

Ten feet aisles between planters, furniture and exhibit tables must be maintained at all times. Twenty feet aisles between carts and retail merchandising units must be maintained at all times.

Exhibits may not exceed 6 feet in heights without prior approval.

No planters, ash trays, benches, directories or Westfield equipment may be moved at any time. Once an exhibit is positioned and approved by management, it may not be rearranged or moved by exhibitor. A fine may result in non-compliance.

Booth Space:

The exhibitor may not sublet or share any portion of contracted space. Booth space does not include carpet. Phone lines are not available.

Signage provided by Toledo Baby™ remains property of Toledo Baby™.

Booths and display areas must be manned at all times.

Exhibitor is responsible for retail sales and appropriate taxes payable to any appropriate taxing authority.

Electricity:
Electrical usage must be requested on application and approved by Toledo Baby™. Not all exhibitor spaces are available to electricity. All exhibitors must enclose extension cords in floor duct and/or rubber runners. Runners must be taped down with clear, gray or black 3M floor tape. All rubber cords must meet UL standards.

Exhibitor Take Down:

No display shall be dismantled or removed before the scheduled move out time. NO EXCEPTIONS. Items left after the specified move out time will be subject to disposal at the expense of the exhibitor. All display areas must be kept in a clean and attractive manner throughout the exhibit and must be left in good order at the close. All trash must be removed and placed in trash compactors located outside service entrances. A clean-up fee will be charged for any exhibitor or group who leaves an untidy area.

Miscellaneous:

Special setup requirements may be available for an additional charge. Requirements must be submitted in writing to Toledo Baby™ no later than 15 days prior to the event. Toledo Baby™ may not be able to accommodate any additional setup requests after that time.

Retail sales are welcome. Nature of items MUST be approved by Toledo Baby™ prior to March 16th. Bag materials/items and written stage proposal must be submitted to Toledo Baby™ by March 16th. Protective flooring, if needed, will need to be provided for the activity booth. Purchase of booth space is required for the stage activity. Exhibitors must have appropriate artwork (logos) provided prior to promotional deadlines. Participation in the Toledo Baby™ Club Card program involves your agreement to the Toledo Baby™ Club Card terms and conditions. Name recognition, logo recognition and associated links may remain on toledobaby.com until November 1, 2008. Any information, listings, logos, and links may be removed earlier from the toledobaby.com website at the discretion of Toledo Baby™.

No smoking or alcohol will be allowed at the event.

Distribution of food is not permitted.

All promotional giveaways must be approved prior to show.

Toledo Baby™ reserves the right of approval for all displays and promotional literature.

No surveys may be conducted or petitions signed unless approved prior to show.

Violations:
Violations will not be tolerated and violator(s) may be fined.

Exhibitor Application:
All applications will be processed on a first come-first serve basis. For your convenience, you may sign up online at toledobaby.com. Any application submitted via online or via mail must be completed and accompanied by correct deposit. Incomplete applications will not be accepted.

Cancellations:
Cancellations must be made 2 weeks prior to the event in writing - via mail. Deposits are non-refundable and non-transferable. Your cancellation does not guarantee acceptance or release you from any fees owed.

Non Sufficient Funds:

In the event that an exhibitor’s check is NSF, a $50.00 administration fee will be charged to the exhibitor.

Indemnification:

In the event that the Westfield Franklin Park Mall is forced to close on the day of the event due to acts of God or any other unforeseeable event, and the Event is cancelled, no deposits will be returned to the Exhibitor.

Liability:
Toledo Baby™ shall not under any circumstance be liable or responsible for any loss, damage, theft or destruction to any goods, equipment, person, or any other property belonging to the Exhibitor.

Westfield Franklin Park Rules and Regulations
Westfield Franklin Park including the enclosed areas, parking lots and peripheral developments, is private property. Toledo Baby™ exhibitors are subject to the rules and regulations set by Westfield owners, management, marketing, and security staffs. These rules and regulations are dictated in order to insure a safe and pleasant experience for exhibitors and shoppers.

Hours:

Westfield Franklin Park hours are 11 a.m. to 6 p.m. on Sunday, April 6th, 2008.

Staffing:
Westfield Franklin Park maintains full-time security, housekeeping and landscaping staff. However, individual exhibitors are responsible for the safety, security, and cleanliness of their own displays. Any damage to mall floors, walls, furniture or plants will be billed to the Licensee. Westfield assumes no responsibility for any loss or damage to property displayed in the mall or parking lot.

Event Set Up:
Deliveries will not be accepted by Westfield management unless requested and approved in advance.

Unloading:

Exhibitors may park at loading areas only to unload materials. Vehicles must be moved immediately after unloading is completed. No vehicles will be allowed on the sidewalks or landscaped areas. No vehicles may enter the Shoppingtown, except when they are part of the display and must be pre-approved. Only small hand carts may be used to transport materials into the mall. Any damage to above property will be charged to the licensee.

Westfield Franklin Park's parking structure height limit is 14'.

The maximum mall entry doors are 10' high x 11' wide.

Display Areas:
No person shall call out (hawk) to the shopping public that may pass by his or her exhibit or stand outside the exhibit.

All exhibitor personnel must be professionally dressed. Name tags and exhibit uniforms are recommended. NO JEANS, DENIM, SHORTS, OR SWEAT CLOTHES ARE ALLOWED.

No decorations or signs are to be hung from the ceiling, soffits, pole lights, or columns or attached to walls, trees, or any other mall fixtures.

Eating and drinking within your display area is prohibited. (Drinks or food may not be stored at exhibit area.)

All display racks, easels, etc. must be in sturdy condition and freshly painted.

Surplus boxes, lawn chairs, personal belongings, hand carts and supplies must be stored out of sight.

The playing of any musical instrument, radio, or the use of a microphone, loudspeaker, or flashing/rotating lights is not permitted.

There shall be no open flame of any type; this will include torches, candles, soldering devices, etc.

There shall be no flammable liquids of any type; this will include paint thinners, kerosene, gasoline or other like materials.

All displays must remain in the mall throughout the set time of the program. No vehicles or equipment may be removed at any time before the close of the center.

Westfield Franklin Park reserves the right to relocate the individual exhibit locations, at any time during the event, should the need arise.

Signs:

All exhibit signage must be pre-approved by Westfield Management prior to the event. Hand printed signs are strictly prohibited. All signs must be professionally printed. Signs are to be in sign holders within the exhibit or on the exhibit table. No exhibit signs may be placed on the exterior property. No "sale" signs may be displayed. Credit card signs may be no larger than 3X5. Westfield management has the right to remove any signs not consistent with the overall image of Westfield centers.

Handing out of flyers or any printed matter in the Center, or any entrance way, parking areas, roadways or sidewalks is strictly prohibited. Failure to comply will result in a fine.

Vehicles:
Vehicles displayed in the center must comply with all local fire regulations, requiring less than one gallon of gas in tanks, gas tanks taped shut and battery cables disconnected. A drip pan must be placed under each vehicle and carpet pads must be placed under each tire. An extra set of keys must be left with Security. Dealership employee must clean the car daily before 10 a.m. Please note that Management has the right to remove any and all vehicles at any time.

Miscellaneous:

The sale or sampling of food for immediate consumption at the display is not permitted unless approved prior to show.

Acceptance of Agreement

By submitting the exhibitor application, you and your company are agreeing to the terms and conditions and understand that failure to comply may result in penalty fees or removal from the grounds with loss of fees paid. You and your company also release Toledo Baby™ and its representatives of any and all liabilities for any loss, injury, or damage to persons or property.

Payment Terms:

50% deposit due with application. Remaining balance is due March 7th. Late payments may result in loss of exhibitor space and loss of deposit. Applications received after March 7th must be accompanied by full payment. Special payment arrangements may be made by calling 419.353.4332 or emailing info@toledobaby.com.

Event day unloading information, booth space, and event day schedule will be provided no later than 72 hours prior to the event.

The exhibitor application is considered valid only if accepted by a Toledo Baby™ representative. Once accepted, you will receive a confirmation. Rejected applications will be notified by mail with returned deposit. Contracts accepted by Toledo Baby™ may be declared null and void if it is discovered that the exhibitor misrepresented himself/herself or his/her company during the application process.
